1. About These Terms
These Terms of Service ("Terms") govern your use of the Lighthouse Digital website and any consulting, automation, or implementation services we provide (collectively, the "Services"). Lighthouse Digital is a New Zealand-based workflow automation and consulting business. By accessing our website or engaging our Services, you agree to be bound by these Terms.
2. Our Services
Lighthouse Digital provides workflow automation, CRM implementation, process optimisation, and AI transformation consulting for professional services firms. The specific scope, deliverables, timeline, and fees for any engagement will be set out in a separate proposal or statement of work agreed between you and Lighthouse Digital.
3. Eligibility
Our Services are designed for businesses and professionals. By engaging our Services, you confirm that you have the authority to enter into a binding agreement on behalf of your organisation and that you are at least 18 years of age.
4. Proposals and Engagements
All consulting engagements are subject to a written proposal or statement of work. This document will outline the scope of work, deliverables, fees, payment terms, and timeline. Work will not commence until a proposal has been accepted in writing (including by email). These Terms apply in addition to any proposal or statement of work.
5. Fees and Payment
Fees for our Services will be set out in the relevant proposal. Unless otherwise agreed, invoices are due within 14 days of issue. All fees are quoted in New Zealand Dollars and are exclusive of GST unless stated otherwise. We reserve the right to charge interest on overdue invoices at a rate of 1.5% per month.
6. Your Responsibilities
To enable us to deliver our Services effectively, you agree to provide timely access to relevant systems, tools, data, and personnel as reasonably required. You are responsible for ensuring that any information you provide to us is accurate and complete. Delays caused by late access or information may affect project timelines and deliverables.
7. Intellectual Property
All templates, frameworks, methodologies, and tools developed by Lighthouse Digital remain our intellectual property. Upon full payment, you will receive a licence to use any deliverables created specifically for your engagement. You may not resell, redistribute, or sublicence our deliverables without prior written consent. Any pre-existing intellectual property you provide to us remains yours.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement. This includes business processes, financial data, client lists, system credentials, and strategic plans. This obligation survives the termination of any engagement and continues for a period of two years thereafter.
9. Data and Privacy
We handle personal information in accordance with the New Zealand Privacy Act 2020 and our Privacy Policy. Where our Services involve access to your systems or data, we will treat that data with appropriate care and use it only for the purposes of delivering the agreed Services.
10. Limitation of Liability
To the maximum extent permitted by New Zealand law, Lighthouse Digital's total liability arising from or in connection with any engagement shall not exceed the total fees paid by you for that engagement. We shall not be liable for any indirect, consequential, or incidental loss or damage, including loss of profit, data, or business opportunity. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under New Zealand law, including under the Consumer Guarantees Act 1993 (where applicable).
11. Termination
Either party may terminate an engagement by providing 14 days' written notice. If you terminate an engagement, you agree to pay for all work completed up to the date of termination. We reserve the right to terminate immediately if you breach these Terms or fail to make payment when due.
12. Dispute Resolution
If a dispute arises, both parties agree to first attempt to resolve the matter through good faith negotiation. If the dispute cannot be resolved within 30 days, either party may refer the matter to mediation in Auckland, New Zealand. The costs of mediation will be shared equally.
13. Governing Law
These Terms are governed by the laws of New Zealand. Both parties submit to the exclusive jurisdiction of the courts of New Zealand.
14. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on our website with an updated effective date. Continued use of our website or Services after changes are posted constitutes acceptance of the revised Terms.
